Terms Of Use
By accessing or using the Orbyt platform, website, or any associated services (collectively, "the Platform"), you agree to be bound by these Terms of Service in full. If you do not agree to these terms, do not use the Platform.
These Terms apply to all users of the Platform, including businesses and individuals who subscribe to any paid or trial plan offered by Orbyt.
1. Definitions
"We", "Us", "Our", "Orbyt", and/or Bear and Bull Marketing Inc. refers to the company operating this Platform.
"You", "Your", and "Client" refers to the business or individual accessing or using the Platform under a subscription or trial.
"Platform" refers to the software, tools, automations, AI features, sub-accounts, and associated services provided by Orbyt.
"Contact Data" refers to the names, phone numbers, email addresses, and other personal information belonging to your customers or leads that you store or process within the Platform.
2. Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your business to use this Platform. By agreeing to these Terms you confirm that you meet these requirements.
3. Subscription Plans and Billing
Orbyt offers the following subscription plans:
Orbyt Starter at $297 per month or $2,970 per year.
Orbyt Growth at $597 per month or $5,970 per year.
Orbyt PRO at $997 per month or $9,970 per year.
All new subscriptions include a 7-day free trial. No charge is applied during the trial period. At the end of the trial, your selected plan billing begins automatically unless you cancel before the trial ends.
Subscription fees are billed in advance on a recurring monthly or annual basis depending on the plan you select. All fees are non-refundable except where required by applicable law or as otherwise stated in these Terms.
We reserve the right to change our pricing at any time. Where a price change affects your active subscription, we will provide at least 30 days notice before the new pricing takes effect.
4. Cancellation
You may cancel your subscription at any time by contacting us at [email protected] or through your account settings where available.
Cancellation takes effect at the end of your current billing period. You will retain access to the Platform until that date. No partial refunds are issued for unused time within a billing period.
If you cancel during a free trial, you will not be charged.
We reserve the right to suspend or terminate your account if any payment is not successfully processed within 7 days of the due date.
5. Platform Use and Acceptable Use
You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for your own business purposes during your active subscription period.
You agree not to:
Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
Send unsolicited commercial messages, spam, or any communication to contacts who have not provided consent to receive them
Use the Platform to harass, abuse, or harm any individual
Attempt to reverse engineer, copy, resell, or sublicense any part of the Platform
Use the Platform in a way that interferes with or disrupts its infrastructure or the experience of other users
Upload or process any Contact Data that you do not have the legal right to use
We reserve the right to suspend or terminate access to any account found to be in violation of these terms without prior notice.
6. SMS Messaging Programme and Compliance
Orbyt provides SMS messaging tools as part of the Platform. By using these tools, you agree to the following.
Your obligations as a sender. You are responsible for ensuring that all contacts in your account have provided valid, documented consent to receive SMS messages from your business before sending any messages through the Platform. This includes maintaining records of how and when consent was obtained.
Programme description. The Orbyt Platform enables businesses to send the following types of SMS messages to their opted-in contacts: appointment confirmations and reminders, lead follow-up and nurture messages, review requests, reactivation messages, and other business communications relevant to the services you provide.
Message frequency. Message frequency varies depending on your workflows, your contacts' activity, and the automations you have configured within the Platform. Contacts can expect to receive messages in relation to the specific programme they opted into.
Message and data rates. Standard message and data rates may apply to all SMS messages sent and received through the Platform. Rates are determined by the recipient's mobile carrier and plan.
Opt-out. Any contact who replies STOP to a message sent through the Platform will be immediately unsubscribed from further SMS messages from your account. A single confirmation message will be sent and no further messages will follow. You must not send further messages to any contact who has opted out.
Help. Any contact who replies HELP to a message will receive a response with basic support information and a contact method for your business.
No sharing of SMS opt-in data. SMS opt-in information and consent obtained through the Platform is never sold, rented, shared, or transferred to any third party for marketing or promotional purposes.
Compliance. You agree to use the SMS features of the Platform in full compliance with all applicable laws and regulations including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and CTIA messaging guidelines. Orbyt is not liable for any fines, penalties, or legal claims arising from your failure to comply with applicable SMS laws and regulations. Mobile carriers are not liable for delayed or undelivered messages.
7. Contact Data and Data Ownership
You retain full ownership of all Contact Data you upload, import, or generate within your Platform account. Orbyt does not claim any ownership over your Contact Data.
You are solely responsible for ensuring you have the legal right to collect, store, and process your Contact Data. You agree to handle all Contact Data in accordance with applicable data protection and privacy laws.
We process your Contact Data only as necessary to provide the Platform services to you. We do not sell, rent, or share your Contact Data with third parties for their own marketing purposes.
Upon cancellation of your account, you may request an export of your Contact Data before your account is closed. After account closure, we reserve the right to delete your Contact Data from our systems.
8. Platform Availability and Limitations
We aim to maintain consistent availability of the Platform but we do not guarantee uninterrupted or error-free access at all times. The Platform is built in part on third-party infrastructure including GoHighLevel. Scheduled maintenance, third-party outages, or circumstances beyond our control may occasionally affect availability.

We will make reasonable efforts to notify users of planned maintenance in advance where possible.
Orbyt is not liable for any loss of revenue, missed leads, missed appointments, or other damages arising from Platform downtime or technical issues, whether caused by us or by third-party infrastructure providers.
9. Intellectual Property
All software, content, branding, workflows, templates, and materials provided as part of the Platform are the intellectual property of Orbyt or its licensors. You may not copy, reproduce, resell, or redistribute any part of the Platform or its content without prior written permission.
Any custom automations, workflows, or assets built specifically for your account by Orbyt as part of your subscription remain the property of Orbyt unless otherwise agreed in writing.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Orbyt shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including but not limited to loss of revenue, loss of data, missed business opportunities, or reputational harm.
Our total liability to you for any claim arising from your use of the Platform shall not exceed the total amount you paid to us in the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Orbyt, its directors, employees, and partners from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights including applicable SMS and data protection laws.
12. Changes to These Terms
We reserve the right to update these Terms of Service at any time. Where changes are material, we will notify you by email to the address associated with your account at least 14 days before the changes take effect. Your continued use of the Platform after that date constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.
13. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in the territory in which Orbyt is registered.
